Bylaws of the Allenbrook Neighborhood Association
As adopted November 20, 2023 with Amendments posted below.

Article I:
The name of this organization shall be the Allenbrook Neighborhood Association.

Article II: Purpose
The purpose of this neighborhood association shall be to promote the welfare and improve the quality of life for residents of the Allenbrook Neighborhood residing on or within the bounds of Birdsong Drive on the North, Allenbrook Drive on the East, and Edgebrook Drive on the West and on the South.

Article III: Membership and Voting
Section 1: Eligibility
Any person, 18 years of age or older, who is a resident or homeowner of one of the 138 households within the boundaries of the Allenbrook Neighborhood is eligible for membership. Votes shall be held only at regular or special meetings. Only members who are present when a vote is taken are eligible to vote. Voting members are entitled to cast one vote each and may not vote on behalf of someone else.

Section 2: Membership Fees
There are no dues for Membership in the Allenbrook Neighborhood Association. The association may accept donations only from members and/or businesses where members are employed and the amounts of such donations may not exceed $500 per donor per fiscal year.

Article IV: Meetings
Section 1: Regular Meetings
Regular meetings of the members shall be held the third Monday of each month at a time and place to be determined by the Board of Directors. Meetings which conflict with holidays or special events may be moved by the Board one week earlier or later with at least seven days’ notice to the membership. To transact business the meeting must be advertised to the neighborhood’s households at least six days in advance and be attended by a majority of those owners or residents of the neighborhood who notified the association within 30 days of the meeting of their desire to participate. Notice may made directly to any member of the Board of Directors or by simply attending the meeting.

Section 2: Special Meetings
Special meetings of the members may be called by the President or by a majority of the Board of Directors with a 10 day notice to the association. Notice for a special meeting shall be provided in the same manner as notice for regular meetings and state the date, time, place, purpose, and proposed agenda for the meeting. Quorum requirements for special meetings are the same as for regular meetings.

Article V: Board of Directors
Section 1: Composition
The governing body of the association shall be a Board of Directors consisting of four elected officers: President, Vice President, Secretary, and Treasurer.

Section 2: Elections
Elections of Directors shall be held annually at the association’s last meeting of the year and new Directors shall begin their term at the association’s first meeting of the following year.
A. At each year’s November meeting, nominations for Directors may be made by members from the floor, or by a nominating committee previously established by the Board for that purpose, or both.
B. At each year’s December meeting, Directors will be elected from among those previously nominated.
C. Outgoing Directors shall transfer all documents and materials related to their position to the newly elected Directors within 14 days after the election.
D. Directors may be removed at a meeting for which at least 21 days’ notice of the proposed removal is given to all 138 households. If two-thirds of voting members present approve the removal, the Director shall be removed.

Article VI: Officers
Section 1: Designations
The elected officers of the association shall be the Board of Directors: President, Vice President, Secretary, and Treasurer. Block Representatives are approved by the Board of Directors and are Officers of the association, but are not Directors.

Section 2: Duties
A. President: Preside over meetings, act on behalf of the association, appoint special committees, and serve as official spokesperson of the association.
B. Vice President: Assume the duties of the President in their absence, be responsible for association notices and communications.
C. Secretary: Keep a permanent record of meetings and legal documents/transactions, transcribe minutes, and maintain file copies.
D. Treasurer: Keep a permanent record of all financial business, submit financial reports at meetings, and manage membership.
E. Block Representatives: Volunteers, approved by the Board of Directors, serve as a voice for the residents of specific blocks or parts of blocks as designated by the Board within the neighborhood.
F. Block Representatives may be removed by a majority vote of the Board of Directors.
G. Overall, these officers work together
– to promote the welfare and quality of life for all residents in the Allenbrook Neighborhood,
– to ensure the neighborhood association is organized and efficient in its operation.

Section 3: Vacancy
If an officer leaves their position before their term is up, the Board of Directors shall appoint someone to fill the vacancy for the remainder of the term.

Article VII: Committees
The President, with the approval of the Board of Directors, may form committees as necessary to fulfill the purposes of the association. As part of their official duties, both the President and Vice President are also members of all committees.

Article VIII: Finances
The fiscal year of the association shall be January 1 to December 31. The Treasurer shall keep accurate records of all financial transactions and shall present a report at each regular meeting of the members. At least two Directors plus the Treasurer must sign off on all association expenditures, and the association’s financial records and funds must be audited annually by a committee of at least two Voting Members appointed by the President with the approval of the Board before a new Treasurer takes office.

Article IX: Amendments
These bylaws may be amended with at least a 61 day notice of the proposed amendment which is subsequently passed by two-thirds of the voting members present at a regular or at a special meeting called for that purpose.

Article X:
The association shall be governed by the current edition of Robert’s Rules of Order, except where they conflict with these bylaws or any special rules adopted by the association. No officer, representative, or member of the association shall have financial liability to or from the association, nor shall they discriminate on any grounds against any individual or group in any service, operation, or activity of the association.
